Leadership Opportunities: Take on a leadership role, overseeing the Corporate Administration team and coordinating governance activities across various international entities.
Responsibilities
- Manage the corporate governance of a diverse portfolio of Cayman-based and global entities.
- Handling complex asset acquisition frameworks and facilitate governance and secretarial support activities.
- Partner with onshore legal teams for listed companies, overseeing transaction support with various external stakeholders involved in debt/financing deals, mergers, and acquisitions, ensuring seamless coordination and timely execution of pre- and post-closing requirements.
- Collaborate with Cayman legal advisors on extensive, deadline-sensitive projects like group reorganizations, vehicle rationalization schemes, and the implementation and administration of employee incentive initiatives.
- Oversee all facets of client service delivery in transactions, including scrutinizing complex transaction documents, drafting resolutions, conducting board and committee meetings, and ensuring compliance with statutory and regulatory filing obligations.
- Lead and contribute to initiatives aimed at improving business processes and enhancing efficiency and control to support growth.
- Supervise and assist the Corporate Administration team, aiding directors in managing workload distribution and monitoring progress.
Requirements
- Bachelors Degree in a relevant field such as law, business, governance, or a related discipline.
- Professional accreditation as a Chartered Company Secretary from the Chartered Governance Institute, or an equivalent certification.
- At least 8 years of experience as a Company Secretary or in a related governance role with a focus on transaction support.
- Managerial experience in a high-paced law or accounting firm, involving deal support and closing activities.
- Strong problem-solving skills with the capability to identify and mitigate risks.
Salary US$145K – US$170K per annum.
