The Agency is seeking a dedicated Corporate Governance Specialist on behalf of our client to take the lead in managing existing and new funds. As a key player in our clients dynamic team, you’ll provide strategic corporate governance and company secretarial support, drawing on your expertise gained in the fast-paced world of financial services and legal environments.

Responsibilities:
- Govern a diverse portfolio of funds and investment structures, ensuring compliance with Cayman Islands regulations.
- Establish governance frameworks for client entities and coordinate all aspects of governance and board support.
- Draft board minutes and resolutions, collaborating with Cayman counsel and the Corporate Services team.
- Liaise with stakeholders to ensure seamless completion of corporate actions arising from fund launches, acquisitions, and more.
- Oversee client service delivery, including reviewing transaction documents, hosting meetings, and ensuring regulatory filing obligations are met.
- Contribute to projects enhancing business processes for improved efficiency and control.
Requirements:
- University Degree in law, business, governance, or related field.
- Professional designation as a Chartered Accountant, Lawyer, or Chartered Company Secretary.
- Minimum 5 years’ experience in senior governance roles focused on regulated funds.
- Understanding of complex fund structures, Islamic financing transactions, and infrastructure projects.
- Solid knowledge of Cayman Islands regulations pertaining to investment vehicles.
- Strong written and verbal communication skills.
